Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of scvcommodities.com (the “Website”), operated by SCV Commodities Pte Ltd, a company incorporated in Singapore, and SCV Enterprises LLC, a limited liability company registered in Delaware, USA (together “SCV”, “we”, “us” or “our”). By using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

1. Who we are and what we do

SCV is an independent physical commodity broker. We introduce buyers and sellers of physical commodities and facilitate transactions between them, and we introduce clients to third-party trade finance, invoice financing and invoice factoring providers.

Unless expressly agreed otherwise in writing, SCV acts only as an intermediary. We do not act as principal to any transaction, do not own or hold commodity inventory, do not take positions on client flow, and do not ourselves lend money, extend credit or purchase receivables. Any financing or factoring facility is provided by, and is subject to the terms and approval of, the relevant third-party provider.

2. No offer, advice or solicitation

The information on the Website is provided for general information only. Nothing on the Website constitutes:

  • an offer to buy or sell any commodity, or a solicitation of such an offer;
  • an offer or commitment to provide finance or credit;
  • investment, financial, legal, tax, accounting or other professional advice; or
  • a recommendation that any transaction is suitable for you.

The Website does not relate to futures, options, securities or other regulated financial instruments, and SCV does not offer services in respect of them. You should obtain your own independent professional advice before entering into any transaction.

3. Transactions are subject to separate agreements

Any brokerage engagement, commission arrangement or transaction is subject to a separate written agreement between the relevant parties, and to satisfactory completion of due diligence. Those agreements, and not these Terms, will govern the transaction. Indications of markets, volumes, hubs, delivery terms, timings or financing percentages on the Website are illustrative only and are not binding.

4. Compliance, KYC and sanctions

Before we act on any enquiry or introduce any counterparty or financier, we may require identification, corporate and ownership documents and other information needed to comply with anti-money laundering, counter-terrorist financing, anti-bribery and sanctions laws. We may decline or stop any enquiry or engagement at our discretion, including where information is not provided, or where a transaction, party, commodity, vessel or route would or might breach applicable law or sanctions.

You must not use the Website or our services in connection with any unlawful activity, including fraud, money laundering, sanctions evasion or dealing in goods of unlawful origin.

5. Enquiries and information you provide

When you submit an enquiry or otherwise send us information, you confirm that it is accurate, that you are authorised to provide it on behalf of your organisation, and that providing it does not breach any duty of confidentiality you owe to others. Our handling of personal data is described in our Privacy Policy.

6. Confidentiality

We treat market enquiries, counterparty details and transaction information shared with us as confidential, and disclose them only as needed to progress your enquiry or transaction, to service providers bound by confidentiality, or where required by law. Specific confidentiality and non-circumvention obligations may be set out in separate agreements between the parties.

7. Accuracy of information

We take reasonable care to keep the Website accurate and up to date, but market conditions change quickly. The Website and its content are provided “as is” and “as available”, and to the fullest extent permitted by law we give no warranty, express or implied, as to their accuracy, completeness, timeliness or fitness for any particular purpose. We may change or remove content at any time without notice.

8. Intellectual property

The Website and its content, including text, graphics, logos and design, are owned by or licensed to SCV and are protected by intellectual property laws. You may view and print pages for your own internal business reference. You may not otherwise copy, reproduce, republish, distribute or commercially exploit any content without our prior written consent. The SCV name and logo may not be used without our permission.

9. Acceptable use

You agree not to:

  • use the Website in any way that is unlawful, fraudulent or harmful;
  • attempt to gain unauthorised access to the Website, its servers or any connected system;
  • introduce viruses, malware or other harmful material;
  • use automated means to scrape or collect data from the Website; or
  • impersonate any person or misrepresent your affiliation with any organisation.

10. Third-party links

The Website may link to websites operated by third parties. We have no control over those websites and are not responsible for their content, availability or privacy practices. A link does not imply our endorsement.

11. Limitation of liability

To the fullest extent permitted by law, SCV, its directors, officers, employees and agents will not be liable for any loss or damage, whether direct, indirect, incidental, special or consequential, including loss of profit, revenue, business, opportunity or data, arising from or in connection with your use of, or inability to use, the Website, or your reliance on any information on it.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify SCV against any claims, losses, liabilities and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Website.

13. Availability

We do not guarantee that the Website will be available at all times or free of errors. We may suspend, withdraw or restrict the Website, in whole or in part, for business or operational reasons.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising from or in connection with them or the Website, are governed by the laws of the Republic of Singapore. The courts of Singapore have exclusive jurisdiction over any such dispute, except that SCV may bring proceedings in any other court of competent jurisdiction.

15. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. A failure or delay by us in enforcing any provision is not a waiver of our rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of them.

16. Changes to these Terms

We may revise these Terms at any time by updating this page. The revised Terms take effect when posted, and the “Last updated” date will change accordingly. Please check this page periodically.
